Terms of Service
Effective October 5, 2026
These terms are an agreement between you and Logos Strategy Co. LLC(“we”, “us”) covering Cerino: the web app at cerino.ai, the Cerino API, and the Cerino connector for AI assistants. If you use Cerino for an organization, you accept these terms for it and confirm you may do so. If your organization has signed a separate agreement with us, that agreement governs where it differs from these terms.
1. The service
Cerino keeps a governed record of your organization’s knowledge, its Brain. Cerino can read sources you provide and draft proposals, and people your organization authorizes approve or reject them. The connector lets AI assistants such as Claude and ChatGPT read the approved record and submit proposals, which still need a person’s approval. We may improve and change Cerino over time. If a change materially reduces what you rely on, we will tell account owners first.
2. Accounts
Access is by invitation from your organization. Keep your sign-in secure, and tell us promptly at hello@consciens.ai if you believe your account has been misused. Your organization’s owners control who has access and with what role.
3. Your content
Your organization owns the content it puts into Cerino and what Cerino produces from it for you. You grant us the rights we need to host, process and display that content solely to provide Cerino to you, including sending it to the service providers listed in our Privacy Policy. We do not use your content to train AI models. You are responsible for having the right to add the content you add, including any consent required from people in recordings or messages.
4. AI output
Cerino uses AI models, and their output can be incomplete or wrong. Proposals are drafts until a person approves them, and answers drawn from your Brain are only as accurate as what your organization approved. Review output before relying on it. Cerino supports decisions made by people; do not use it as the sole basis for decisions with legal or similarly significant effects on individuals.
5. Third-party assistants and tools
When you connect Cerino to an AI assistant or another tool, your use of that product is governed by its provider’s terms, and that provider handles what you send it under its own policies. We are responsible for what Cerino does with the data it receives, not for the other product. You can disconnect at any time.
6. Acceptable use
You agree not to:
- break the law, infringe others’ rights, or add content you have no right to add;
- try to access another organization’s data, probe or bypass security, or disrupt the service;
- reverse engineer Cerino, except where the law allows it despite this term;
- use Cerino to build a competing product, or resell it without our agreement;
- overload the service with automated traffic beyond normal use of the API and connector.
7. Fees
Fees, if any, are set in your order form or agreement with us. Access during early access may be free and may end or change with notice.
8. Confidentiality and security
We treat your content as confidential, use it only to provide Cerino, and protect it with reasonable administrative, technical and physical safeguards. Our Privacy Policy describes how we handle personal information.
9. Ending your use
You may stop using Cerino at any time. We may suspend or end access for a serious or repeated breach of these terms, or where the law requires it, and will give notice where we reasonably can. When an organization’s account ends, it may ask us for an export of its content within 30 days, after which we delete it as the Privacy Policy describes.
10. Disclaimers
Except as stated in a signed agreement with us, Cerino is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.
11. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, and our total liability arising from Cerino is limited to the greater of the amount you paid us in the twelve months before the claim and one hundred US dollars. These limits do not apply where the law does not allow them.
12. General
These terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, and disputes will be heard in the state or federal courts located in Colorado. We may update these terms; we will post the change here with a new effective date and tell account owners of material changes before they take effect. If any term is unenforceable, the rest remain in effect. You may not assign these terms without our consent, except with the sale of your business.
